On 5 November 2026, the Securities and Exchange Board of India (SEBI) cleared the draft papers for the Mahanadi Coalfields IPO — Coal India selling a 10% stake in its Odisha mining arm, in what is expected to be one of India's biggest offerings this year.
SEBI issued its final observations on 4 November 2026, also clearing Sagar Defence Engineering and Arjun Jewellers. Mahanadi can now file its final offer document and announce a price band and dates — none announced yet.
Quick Answer: SEBI has cleared the Mahanadi Coalfields IPO: Coal India will sell up to 661.8 million shares — about 10% of the company — in an offer for sale that could raise $1 billion and value the miner at about $10 billion. No price band or date has been announced yet, and SEBI's clearance is not a recommendation to buy.
What exactly is being sold
The offer is a 100% offer for sale (OFS). Coal India, which owns all of Mahanadi Coalfields today, will sell up to 661.8 million shares — about 10% of the company. No new shares will be created. That structure matters: in an OFS, the money goes to the selling shareholder — Coal India — not to Mahanadi Coalfields, which gets no fresh funds. After the sale, Coal India will still own about 90%. The draft papers were dated 31 August 2026 and listed by SEBI on 4 September. Bloomberg reported on 2 November that Coal India is preparing to launch as early as this month, with investor meetings under way and a possible launch in the second half of November or early December. The timing could still change. The $1 billion / $10 billion maths
Bloomberg reported the offering could raise as much as $1 billion and value Mahanadi Coalfields at as much as $10 billion — linked by simple arithmetic: a 10% stake worth $1 billion implies a $10 billion whole. Both are reported estimates, not announced terms, and could change. The book-running lead managers are SBI Capital Markets, Axis Capital, BOB Capital Markets, IDBI Capital Markets & Securities and IIFL Capital Services. What Mahanadi Coalfields actually is
Mahanadi Coalfields operates mainly in eastern Odisha and accounted for 21% of India's domestic coal production in FY26, and 28.4% of Coal India's output. Coal India contributed about 74% of India's coal production in FY26 and is the world's largest coal producer. In March 2026, Coal India said it could sell up to 25% in Mahanadi Coalfields and South Eastern Coalfields through IPOs or other routes. The 10% Mahanadi sale is the first step — South Eastern Coalfields has also filed draft papers. What it means for Coal India shareholders
For Coal India shareholders, this is a value-unlocking exercise, not a fundraise. The parent keeps about 90% of a subsidiary producing more than a quarter of its coal, and receives the sale proceeds. A listing will also put a public value on an asset that today sits inside Coal India's accounts. That said, a listing does not change Mahanadi's coal output, its costs or its contracts on day one. Any effect on Coal India's share price will depend on the final valuation, the market's appetite for coal assets, and the broader market — none of which can be predicted from an approval announcement.A record year for Indian IPOs
The clearance lands in the biggest IPO year India has seen: fundraising crossed ₹2.12 trillion for the first time in Samvat 2082 (Nov 2025–Oct 2026), per Prime Database data in Business Standard on 5 November. The mega issues were Jio Platforms (₹30,213 crore, India's largest) and NSE (₹22,561.57 crore). The pipeline is larger still: 116 companies hold valid SEBI approvals worth about ₹1,99,830 crore, and 122 more await approval — roughly ₹4.3 trillion. Razorpay also got SEBI's nod for a ₹5,000–6,000 crore IPO, targeting about $5 billion.OFS vs fresh issue — the framework
- Pure OFS (this IPO): all the money goes to the selling shareholder; the company gets no new capital. Check what the seller does with the proceeds, and whether it keeps control. - Fresh issue: the money goes to the company for growth, debt repayment or working capital. Check the objects of the issue, and whether existing shareholders get diluted. - Mixed issue: part fresh, part OFS. Check both sides — the company's use of funds and the seller's stake after listing. Weights for reading any IPO, as of 5 November 2026: the structure of the offer (OFS vs fresh) comes first, because it tells you who gets the money; the valuation comes second, because it tells you what you are paying; the company's financials come third. None of the three can be judged until the final offer document is filed. What to wait for before applying
Nothing about the Mahanadi IPO can be acted on yet: no price band, no dates, no lot size. The steps are the final offer document (RHP) with audited financials, the price band, and the subscription dates. Retail investors get their usual quota once the issue opens. SEBI's clearance is a regulatory check of the paperwork — not an endorsement of the company or its shares, and not a signal that the shares will list at a gain.
